tZERO agrees to $350M SPAC deal for NYSE American listing

tZERO has agreed to go public through a merger with FG Imperii Acquisition Corp. at a $350 million pre-money equity valuation, with an NYSE American listing under TZRO expected after closing in early 2027.

    Summary

    • tZERO’s proposed $350 million valuation includes up to $25 million tied to specified milestones.
    • FG Imperii’s trust could provide $231 million before shareholder redemptions and transaction expenses.
    • Existing tZERO shareholders are expected to roll all their equity into the combined company.
    • The listing plan follows tZERO’s October clearinghouse approval, while its derivatives exchange application remains pending.

According to tZERO’s Nov. 2 announcement, both boards have unanimously approved the proposed combination, and shareholders representing approximately 62% of tZERO’s fully diluted capital have signed support agreements.

Completion still requires shareholder approvals, regulatory consents, an effective Form S-4 registration statement, and approval to list the combined company’s common stock on NYSE American.

tZERO’s $231 million cash figure depends on redemptions

The companies described the trust balance as potential proceeds, with the amount available at closing depending on how many FG Imperii public shareholders redeem their shares. Transaction expenses would reduce the cash available from that pool.

Separately, the announcement identifies a proposed forward purchase arrangement with FG Merchant Partners LP covering up to 2.5 million shares. Definitive documentation remains required, and an FG Imperii affiliate has contributed to tZERO’s previously announced funding round.

Existing shareholders are expected to carry 100% of their equity interests into the combined business. The announced structure therefore provides for continued ownership through the merger, with a public listing planned after completion.

In his post about the transaction, CEO Alan Konevsky described the proposed combination as providing “stability, transparency and independence” for the company’s next phase. He thanked employees and investors who had supported its development as an infrastructure provider across multiple asset categories.

We will talk a lot more about this in the coming weeks and months – and the press release is pretty damn good – for now I want to thank our team and investors who championed and supported @tZERO – as we round the corner and press ahead with our infrastructure as a service… https://t.co/EU03tHE2MB

tZERO plans onchain options alongside its exchange listing

In its accompanying X announcement, tZERO said it would explore pathways for onchain trading, custody and utility alongside the exchange listing. The company presented those possibilities as work to explore, without announcing that each function would be available when TZRO begins trading.

Konevsky said the transaction would give tZERO a more independent footprint and strengthen its ability to scale infrastructure for tokenized financial markets.

“With our reset and refocus of the company over the last year, we’ve been building the regulated technology, infrastructure and market connectivity to power a tokenized financial system,” tZERO said in its post.

The company’s institutional relationships include Intercontinental Exchange, the NYSE’s parent. As crypto.news previously reported, ICE agreed on Aug. 31 to invest in tZERO and license blockchain patents as the companies develop infrastructure for a planned NYSE-affiliated tokenized securities platform.

Their agreements cover transfer-agent and broker-dealer systems for issuance, trading, and onchain settlement. The planned venue remains subject to regulatory approval; ICE’s investment amount was not disclosed in the September coverage.

CFTC clearinghouse approval precedes the SPAC agreement

On Oct. 20, tZERO announced that the Commodity Futures Trading Commission had approved its subsidiary tZERO DCO as a derivatives clearing organization. Its application to operate a designated contract market remained pending in the merger announcement.

A clearinghouse handles clearing and settlement and manages counterparty credit risk. The company’s planned derivatives exchange requires separate registration, with individual products subject to applicable approvals and operational requirements.

In the October announcement, tZERO described potential offerings spanning event contracts, tokenized and conventional derivatives, perpetual futures, and other crypto products. Institutions could use its infrastructure through integrations and white-label services to develop offerings for their customers.

The company said its securities business already supports private companies and assets through broker-dealer subsidiaries, offering issuers tools to digitize ownership records and make eligible equity available for trading on an alternative trading system.

Securitize offers a recent tokenization SPAC comparison

Securitize’s combination with Cantor Equity Partners II provides a recent financing comparison. Ahead of its July debut, the company expected approximately $400 million in gross proceeds, including a $225 million private investment round, against an announced $1.25 billion valuation.

Fewer than 30% of Cantor’s shareholders redeemed their shares, leaving more than 71% of its trust intact, according to the June 30 coverage of its SPAC financing terms. The proceeds figure included private financing and excluded transaction costs.

On July 2, Securitize began NYSE trading and announced tokenized common shares on Solana and Avalanche. The company said eligible U.S. investors could access those shares through its regulated platform, with the same legal, contractual, and transfer restrictions applying to the underlying stock.
